Terms of Service

These Terms of Service ("Terms") govern your access to and use of RunGen.ai. We have tried to write them in a clear and respectful way. By accessing or using RunGen.ai, you agree to be bound by these Terms.
1. Who we are
RunGen.ai is operated by RunGenAi GmbH, a company incorporated under the laws of Switzerland, with its registered seat in Baar, Canton of Zug, Switzerland ("RunGen.ai", "we", "our", or "us").
2. Eligibility and geographic scope
The service is intended only for individuals who are 18 years or older and who are residents of the United States. By using RunGen.ai, you represent and warrant that:
- You are at least 18 years old.
- You are a resident of the United States and accessing the service from one of these jurisdictions.
- You have the legal capacity and authority to agree to these Terms.
If you are located in any other jurisdiction, you must not use the service.
3. Our services
RunGen.ai provides tools for generating and transforming content using machine-learning models, including:
- Text generation (for writing, chat, and related use cases).
- Image generation.
- Video generation.
- Image-to-image and masked local edits.
- Image and video to video transformations, including face swap.
Users can select from a range of open-source models and, in some cases, upload their own models. We rely on GPUs provided by third-party infrastructure operators that are compliant with SOC 2 Type II requirements. We do not develop proprietary foundation models at this time.
The specific features, models, and interfaces available to you may evolve over time. We may add, change, or remove features where we believe this is necessary for performance, safety, or legal reasons.
4. Wallets, credits and pricing
RunGen.ai is Web3-native. You access the service with a compatible wallet and pay for usage through a simple credit system:
- You may top up credits using ETH on the Base network.
- Each generation request (text, image, video, or transformation) consumes credits based on the type and complexity of the request.
- We operate on a pay-per-generation, no-subscription model. You only pay for what you generate.
Credit pricing and consumption rules may change over time. Any such changes will apply going forward and will not retroactively alter usage that has already occurred. You are responsible for ensuring that you understand the cost of a request before submitting it.
All payments are final to the fullest extent permitted by applicable law. Except where required by law, we do not guarantee refunds for used credits or for unused balances.
5. Your responsibilities and acceptable use
You are responsible for all activity that occurs through your wallet and for the content you input, generate, upload, or share when using RunGen.ai. You agree that you will not use the service to create, upload, or distribute any content that:
- Is illegal under the laws of Switzerland, the United States, or the laws applicable in your location.
- Relates to any 18+ or strictly adult content, including but not limited to explicit sexual material, nudity, sexual services, or pornographic content.
- Involves exploitation, harm, or endangerment of minors, including any form of child sexual abuse material or imagery.
- Promotes, incites, or glorifies violence, hatred, harassment, or discrimination against individuals or groups.
- Infringes or misappropriates the intellectual property, personality, privacy, or other rights of any third party.
- Is designed to deceive, impersonate, or mislead others, including through non-consensual deepfakes or identity misuse.
- Attempts to interfere with, disrupt, or harm the integrity or security of the service or its infrastructure.
We may suspend or terminate your access to the service, in whole or in part, if we reasonably believe that your use breaches these Terms, applicable law, or poses a risk to others, to us, or to our infrastructure partners.
6. Ownership of inputs and outputs
As between you and RunGen.ai, we do not claim ownership rights over the prompts, inputs, or outputs you generate through the service. We do not use your prompts or outputs to train models.
However, we cannot guarantee that you will have full rights to use the outputs in all circumstances. Many of the models available through our platform are open-source or user-provided, and their licenses and conditions are set by third parties. You are solely responsible for:
- Reviewing and complying with any applicable license terms associated with the models you choose to use.
- Ensuring that your use of outputs (including for commercial purposes) is lawful and respects third-party rights.
We do not provide legal advice and cannot guarantee that any output is free of third-party rights or suitable for your intended use.
7. Data handling and privacy (summary)
Our handling of personal data is described in detail in our Privacy Policy. In short:
- We do not store your prompts and generations beyond what is necessary to execute them. They are kept only ephemerally and are deleted within approximately 24 hours after generation. After this time, neither you nor we can access them.
- We do not use your prompts or outputs to train models or for marketing purposes.
- We may process IP addresses and related technical data to protect the service, including for rate limiting and security measures, but we do not store usage data for advertising or profiling.
By using the service, you acknowledge that you have read and understood our Privacy Policy.
8. Third-party infrastructure and links
RunGen.ai relies on third-party infrastructure providers (including GPU operators) and may provide access to or integration with third-party tools, models, or platforms. While we aim to work with SOC 2 Type II compliant providers, we cannot control their systems or guarantees.
We are not responsible for content, policies, or practices of any third-party websites or services linked from RunGen.ai. Your use of such third-party services is solely between you and the relevant provider.
9. Disclaimers
RunGen.ai is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we make no warranties or representations, express or implied, about the service, including but not limited to:
- Accuracy, reliability, or quality of any outputs generated by the models.
- Availability, uninterrupted operation, or error-free performance of the service.
- Fitness of the service or outputs for a particular purpose.
AI-generated content can be incomplete, outdated, biased, or factually incorrect. You should not rely on outputs as a substitute for professional advice (including legal, financial, medical, or safety-critical advice).
10. Limitation of liability
To the fullest extent permitted by applicable law, RunGenAi GmbH and its directors, officers, employees, and contractors shall not be liable for:
- Any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of RunGen.ai.
- Any loss or damage resulting from your reliance on outputs, including where such outputs are inaccurate, incomplete, or misleading.
To the extent that our liability cannot be fully excluded under applicable law, our aggregate liability arising out of or in connection with the service will be limited to the amount of fees you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
11. Changes to the service and to these Terms
We are continuously improving and adjusting RunGen.ai. We may modify or discontinue parts of the service where we believe this is appropriate for technical, safety, business, or legal reasons.
We may update these Terms from time to time. When we make material changes, we will take reasonable steps to inform you, such as updating the "Last updated" date and, where appropriate, providing notice inside the product. Your continued use of the service after the updated Terms become effective constitutes your acceptance of them.
12. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them, or with your use of RunGen.ai, shall be governed by and construed in accordance with the laws of Switzerland, excluding its conflict-of-laws rules.
The ordinary courts of the Canton of Zug, Switzerland, shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the service, subject to any mandatory statutory provisions that apply for your protection.
